FAQ: SOIL on the XRP Ledger

Note: The goal is to answer the hard questions about risk, yield sources, and central control that every serious investor should ask before depositing funds.

1. THE BASICS: What is SOIL actually?

A: SOIL is effectively a hybrid fintech platform. It is not "pure" DeFi in the sense of immutable, trustless smart contracts. Soil Ltd. is also not a financial institution, in particular it is not an investment fund manager or asset manager, and does not have any license or authorization required to provide services as a financial institution. It’s CeDeFi.

  • The Reality: Think of it as "Web3-enabled private credit" or a transaction processor bridging crypto to regulated investment vehicles. When you deposit, you are not lending to a smart contract that algorithmically manages risk via over-collateralization and automatic liquidations but to a company instead. You are effectively signing a legal loan agreement with Soil Ltd. (a Malta-based entity).
  • The Flow: Soil takes your crypto (RLUSD) and lends that capital to on-chain or off-chain borrowers to invest it further. You get on-chain proof of your loan and transparency via the XRP Ledger, but the actual yield generation happens via regulated entities.
  • On-Chain: The goal is to eventually tokenize everything and remain 100% on the blockchain at all times. Currently, this equates to investing in Real World Assets (RWAs) like tokenized government bonds such as BlackRock's BUIDL or OpenEden’s TBILL, crypto hedge funds, and already tokenized private credit funds.
  • Off-Chain: Not yet tokenized is Mount TFI’s private credit fund, which lends private credit to SMEs. (Their backbone for the upcoming XRP Ledger lending protocol).

A: Not yet. This is a crucial distinction.

  • Current State: SOIL currently uses the XRP Ledger primarily for settlement and transparency (using the RLUSD stablecoin) but relies on its own legal and technical infrastructure.
  • Future State: The XLS-66 Lending Protocol and Single Asset Vaults are upcoming features on the XRP Ledger (expected integration ~2026). SOIL is preparing to use these native standards, but today, you are trusting SOIL's infrastructure and custody, not the XRPL native lending amendment.

A: Since the native lending protocol isn't live, security relies on institutional custody rather than code.

  • Custody: SOIL uses Ripple’s Palisade, a bank-grade custodian, to secure funds. This includes account-based insurance and segregation of funds.
  • Ownership: All XRPL infrastructure accounts are fully owned by Soil.
  • Risk Management: They employ internal and external audits, simulation testing (stress scenarios, repayments), and redundant backup infrastructure.

A: The move to XRPL is a strategic play for stablecoin utility.

  • Utility Gap: There is currently very little native yield for Ripple USD (RLUSD) on the XRP Ledger.
  • Capital Efficiency: Holders of RLUSD often have their capital sitting idle. SOIL offers a way to utilize that dormant capital without converting it to fiat, filling the gap between holding a stablecoin and actually putting it to work.

2. THE YIELD: Where does the yield come from?

A: The yield is not inflationary token emissions; it comes from lending your money to real entities and investing in regulated financial instruments like RWAs on XRPL. SOIL generates yield from three specific "Vaults," segmented by risk and liquidity:

1. Liquid Pool (Fixed 5% APR | Lock-up: 3 Days)

  • Source: A blend of Tokenized Government Bonds (for safety/liquidity) and Short-term loans to Crypto Hedge Funds.
  • Partners: SOIL onboards with on-chain partners like OpenEden and Ondo to invest directly into their products.
  • Strategy: The hedge funds use the capital for market-neutral strategies (arbitrage, funding rate farming).
  • Why "Liquid"? The bond portion allows for quick exits, and the hedge fund loans are structured with short duration (2-3 day liquidity), meaning you aren't locked in for months.

2. Yield Pool (Fixed 7% APR | Lock-up: 30 Days)

  • Source: A "Fund of Funds" model managed largely by Monterra (a Malta-based, MFSA-regulated entity).
  • Strategy: Monterra allocates capital across ~12-14 different external crypto hedge fund strategies.
  • Risk Mitigation: The goal is risk diversification. By spreading capital across ~14 managers, they aim to ensure that if one manager "blows up," the entire pool isn't wiped out.
  • The Trade-off: You surrender instant liquidity. Redemptions typically take 30 days (processed end-of-month).

3. Credit Pool (Fixed 8% APR | Lock-up: Quarterly)

  • Source: Real World Assets (Private Credit).
  • Strategy: This is the core business. They lend money to Small and Medium Enterprises (SMEs) in Central/Eastern Europe (mostly Poland).
  • The Mechanic: Loans originated by Mount TFI (a Polish regulated and licensed investment firm with ~$260M AUM). There is also exposure to tokenized private credit funds from giants like Apollo and Hamilton Lane to diversify beyond Poland.
  • Collateral: These loans are typically backed by hard assets: mortgages, shareholder pledges, personal guarantees, and company assets.
  • The Lock-up: Because these are real business loans (1-4 year duration), your deposit liquidity is Quarterly (90 days). You cannot withdraw instantly because the money is literally inside a business (e.g. Polish factory) or real estate project.

A: In the Credit Pool, yes. You are effectively acting as a bank for European SMEs.

  • Why the yield exists: These companies cannot get cheap capital from traditional banks easily and fast, so they pay a premium (10%+) to funds like Mount TFI. Also banks typically do not offer mezzanine/junior debt, which funds like Mount TFI actively do.
  • The Cut: Mount TFI/Soil collects the interest, takes a management fee (spread), and passes ~8% on to you (the RLUSD depositor).
  • Unique market opportunity: Currently, there is a shortage of private credit funds in Central Europe compared to Western Europe/the US, which allows funds such as Mount TFI to provide SMEs with mezzanine financing that pays higher interest rates than bank loans but is almost as well secured as senior bank loans. This gives users 8% interest in RLUSD with very strong downside protection on the capital.

A: The vast majority of private credit loans in their portfolio are denominated in PLN, not EUR. Consequently, the fund is valued in PLN, and SOIL primarily hedges against PLN/USD volatility. If any EUR exposure exists, their risk managers apply the same hedging instruments (fx contracts).

  • Hedging Costs: These costs are borne by SOIL and reduce their operational margin. They are already accounted for in the 8% target return for the users, which remains consistent with market standards.

A: Yes, but mostly, no.

A: Yes. Unlike many DeFi platforms that geoblock the US to avoid the SEC, Soil allows US users to deposit RLUSD, provided they pass the KYC/KYB checks and are not in a sanctioned jurisdiction.

3. THE RISKS: Is this safe?

A: No. There is currently no insurance on your principal. Do not confuse this with a savings account.

  • No FDIC Insurance: There is currently no government-backed insurance on your principal.
  • The "Buffer": Soil maintains a "Guarantee Fund" (profit buffer) to cover small discrepancies or shortfalls. If the target yield is 5% but the fund only makes 4.5%, they are legally obliged to top it up from their treasury. This is funded by protocol fees and seed capital. However, this is not a guarantee in the strict regulatory (MiFID) sense, but rather a "first-loss buffer".
  • The Hard Truth: If a major borrower defaults (e.g., a hedge fund collapses or a large tranche of Polish loans goes bad), your capital is at risk. You are an unsecured creditor to Soil Ltd.
  • SOIL’s statement: “True, but that's why the private credit loan portfolio is diversified (not one company has more than 10% of the portfolio value). All loans are collateralized. And historically, even in workouts, you get part of the loan amount back, if not all. So I would say your yield may be in harm, but nominal value is not, though. So, hedge funds are more volatile—but yes, that's why we diversify the book and risk.”
  • Future Roadmap: They are exploring an "insured vault" product (likely regulated in Abu Dhabi) that would offer lower yield (e.g., 3%) in exchange for principal protection, but this is not live yet.

A: This is "Counterparty Risk," and it is the primary risk factor here.

  • Legal Recourse: You have a signed legal loan agreement with Soil Ltd. (a Malta-based entity).
  • Jurisdiction: Since Soil is a European entity, US bankruptcy procedures like "Chapter 11" do not apply.
  • The Process: You would become a creditor in a Maltese court. This involves the appointment of a liquidator, evaluation of assets, and distribution according to Maltese insolvency laws. This is a legal process, not a smart contract auto-liquidation.

A: Not all instruments in their investment strategy are currently available on-chain. Certain allocations require off-ramps into traditional financial markets. Consequently, a significant portion of their AUM is reflected off-chain and may not yet be fully visible through public on-chain TVL trackers.

  • Workaround: To ensure transparency for the ORQO Group (which SOIL is part of), they are working with vLayer. This infrastructure enables cryptographic proof of Web2 data on-chain, creating a transparent bridge between off-chain assets and on-chain reporting.
  • Proof: ORQO’s on-chain proof of funds is verifiable here.

A: Currently, the vast majority of the Guarantee Fund is allocated off-chain and is accounted for within the total AUM of SOIL. It is important to note that the Guarantee Fund, which exceeds $2M, is fully funded by SOIL.

  • SOIL’s statement: “Our ultimate goal is to maintain the fund fully on-chain in traceable investments for continuous auditing. However, for the time being, we allocate these funds into off-chain, safe instruments to ensure capital preservation.”

A: While Celsius collapsed due to commingling funds and high-risk proprietary trading, SOIL argues its structure is fundamentally different:

  • Separation: SOIL claims it does not mix user funds with its own for speculative trading.
  • Transparency: They focus on portfolio management via regulated institutions (like Mount TFI) rather than "risky" DeFi strategies.
  • Lesson Learned: SOIL was built with the Celsius collapse in mind, prioritizing segregated, institutional-grade assets over unregulated yields.

A: It is not "pure" DeFi.

  • The Reason: They deal with Real World Assets (RWA) and regulated fund managers (Mount TFI). They must comply with Anti-Money Laundering (AML) laws and MiCA regulations.
  • The Provider: KYC is handled by Sumsub, a leading provider that uses layered security, encryption, and liveness checks.
  • The Friction: You cannot just connect a wallet and "ape in." You must pass a KYC check (ID verification) via Sumsub. If you are an anonymity or DeFi purist, this product is NOT for you.

A: This is a standard legal clause found in almost all financial contracts.

  • The Reality: It limits liability only if extraordinary events outside their control (e.g., full-scale war, government sanctions, natural disasters) make it impossible to operate.
  • Obligation: It does not mean they are careless; their first obligation remains protecting user capital, but they cannot be held liable if global banking or blockchain networks literally stop functioning.

4. THE TOKEN: Do I need $SOIL?

A: No. This is a significant improvement over the "Ponzi-nomics" of the 2021 era.

  • Real Yield: The yield is paid in the asset you deposit (Deposit RLUSD → Earn RLUSD). On XRPL, the yield is not paid in $SOIL tokens or SEED points.
  • Token Utility: The $SOIL token is strictly for yield-based incentives, governance and "sharing in the success" of the protocol via buybacks (burning revenue). It is optional for the average yield seeker.
